We are seeking a highly-organized, self-motivated Senior Legal Counsel to join our Legal team.  The ideal candidate will have experience advising businesses in a broad array of legal matters affecting a fast-paced growth organization. 

About Midnight:

IOG's Midnight Tribe is a business technology provider and core contributor to the Midnight Network, a blockchain platform for developing decentralized applications that safeguard personal and commercial data. The Midnight Network is the first blockchain to offer programmable data isolation by leveraging zero-knowledge (ZK) proofs to enable selective disclosure of what information is visible on-chain and is designed to help developers implement necessary business policies, such as meeting regulatory requirements.

What the role involves:

As Senior Legal Counsel for Midnight you will play a pivotal role in providing legal guidance and ensuring compliance with laws and regulations in the dynamic and rapidly evolving blockchain industry. You will work closely with our Chief Legal Counsel, providing strategic advice on legal matters, managing risks, and ensuring that our operations align with industry best practices.  

  • Provide legal guidance and advice on a wide range of legal issues relevant to the organization's operations including contract drafting and negotiation, product development, copy review, intellectual property issues, privacy, regulatory compliance, and finance.
  • Review, draft, and negotiate various types of contracts, such as vendor agreements, software licenses, terms of service, privacy-related contracts and client contracts ensuring compliance with legal requirements.
  • Conduct the legal review of marketing materials across all channels and formats, collaborating with internal business partners to identify best practices and mitigate risk in line with company policies.
  • Identify potential legal risks and provide proactive advice and solutions to minimize liability and risk.
  • Stay updated on legal developments and industry best practices pertaining to the company’s industry and operations and conduct legal research and analysis to provide accurate and timely advice.
  • Collaborate closely with cross-functional teams, including product managers, engineers, marketing, and security teams, to provide legal guidance and support.
  • Conduct training sessions and workshops to educate employees on legal and compliance matters relevant to the company
Requirements

Key Competency Requirements:

  • Collaborate and support the legal team and other internal business functions in interfacing with external counterparts ranging from ecosystem partners, service providers and regulators, in coordination with external legal counsel as required.
  • A self-starter who can take ownership of and lead on business-as-usual tasks and use sound judgement on progressing matters to conclusion without close supervision.
  • Confident in contract drafting, review and management processes, mindful of legal, commercial, regulatory and compliance considerations.
  • Advise and guide the business on compliance and legal matters, including horizon scanning for upcoming crypto regulations in key crypto hubs such as the UK, EU, US, and UAE. 

Education/Experience Requirements:

  • 10 years of experience in legal practice preferably both in-house and private practice (requirement flexible for those with relevant crypto industry experience).
  • Qualified to practice law in the US/UK or other relevant jurisdiction
  • Organized, analytical and detail-oriented professional.
  • Self-starter prepared to take ownership of matters and expand scope of work.
  • Excellent communication skills, command of written and spoken English.
  • Excellent time management skills, able to prioritise work and multitask effectively.
  • Able to work in a flexible manner across time zones and business teams.
