The Legal Counsel Europe will support general business operations by acting as a legal liaison between the company and its various entities (in the UK, Sweden, Germany, the Netherlands, Croatia, Serbia and other European jurisdictions) including but not limited to outside counsel and clients.
This position will review, revise and track a wide variety of agreements and provide legal guidance as necessary on a variety of topics including, but not limited to compliance, data privacy, HR matters, etc.
Main Responsibilities:
The Legal Counsel Europe is expected to instruct and guide different division directors within the organization on how to deal with compliance and contractual risks.
Independently and in collaboration with outside attorneys (when applicable), and with support/direction of the Lead Counsel Europe, draft and/or review documents supporting the company’s entities (e.g. government filings, master services agreements, data privacy agreements, etc.), obtain the required internal approvals and handle the execution such documents.
With General Counsel in the US, Lead Counsel Europe in the UK (and outside counsel as needed), consult and handle all corporate legal processes in support to the business and on request of the Directors.
Giving timely legal and compliance advice to internal stakeholders as requested from time to time.
Research, anticipate and guard company against legal risks.
Track and monitor the status of agreements and contracts.
Advise managers within the company and work alongside employees in the variety of service areas that ProPharma is operating (including Pharmacovigilance, Medical Information, Regulatory Affairs, Medical Devices, Clinical Research Solutions and Quality & Compliance).
Advise internal stakeholders and other members of the Legal team as needed on contract status, legal risks and business terms of various opportunities and ongoing operations.
Translate and explain legal language.
Ensure that legal objectives as set by the General Counsel are timely met.
Research unique legal issues impacting the organization by identifying applicable statutes, judicial decisions, and codes.
Keep updated on legislative and regulatory changes that may impact the company and its affiliates.
Minimize risks and maximize legal rights.
Review advertising and marketing materials as needed to ensure compliance with legal requirements.
With outside counsel, develop solutions to complex legal questions.
Interface with coordinate and/or assist outside legal counsel on specific matters, including but not limited to litigation.
Draft letters and correspondences on behalf of the company.
Necessary Skills and Abilities:
Corporate law experience with CRO/Pharma/Life Sciences
International experience essential.
Employment law experience preferred - specifically Dutch.
Excellent written and verbal communication skills.
Able to collaborate effectively with and manage outside legal counsel.
Proficient in legal research.
Ability to translate legal analysis into advice and recommendations for various business stakeholders.
Able to work with others in various geographies and different time zones.
Must be able to work in a fast-paced environment and meet time-sensitive deadlines regularly.
Educational Requirements:
The Legal Counsel must have a completed Master of Laws (LL.M) and Bachelor of Laws (LL.B.) degree from an European (UK or EU) jurisdiction and have sound knowledge of contract law.
